These Terms and Conditions (“Terms”) apply to the use of Yawzay.com and to all participation, payment, holding, management, voting, payout, sale, refund, withdrawal, and related activities carried out through the Yawzay platform.
Yawzay.com is operated by Yawzay Technologies Pvt. Ltd. Yawzay Technologies Pvt. Ltd. acts as the digital platform operator, user onboarding facilitator, payment collection and distribution facilitator, transaction-recording platform, wallet-ledger operator, and communication channel between users, Yawzay Properties Pvt. Ltd., property-specific SPVs, developers, sellers, buyers, tenants, service providers, and other authorised parties.
Properties offered through Yawzay may be structured through a property-specific special purpose vehicle, project company, nominee company, or similar legal vehicle (“SPV”). The relevant property may be acquired, held, registered, managed, rented, sold, or administered through the applicable SPV or authorised property-holding entity. Users may receive documented participation rights according to the approved structure, Platform records, property-specific documents, disclosures, and applicable law.
Yawzay Properties Pvt. Ltd. may act as the property management entity, SPV coordinator, property administration company, development coordinator, rental management coordinator, sale coordinator, and operational manager for the relevant property, Unit, SPV, or project, subject to the property-specific documents and applicable law.
By creating an account, completing KYC, submitting payment, uploading payment proof, accepting these Terms, participating in a property opportunity, or continuing to use the Platform, the User confirms that they have read, understood, and accepted these Terms.
1. Definitions
Unless the context otherwise requires, the following terms shall have the meanings assigned below.
“Account” means the User’s registered account on Yawzay.com.
“Application Form” means the digital or physical form, booking request, participation request, purchase confirmation, or transaction confirmation submitted by the User through the Platform.
“Commitment Period” means the period during which a Participant’s Participation Rights may be restricted from transfer, withdrawal, sale, exit, or cancellation, as stated on the applicable Opportunity Page or property-specific documents. Unless stated otherwise, the Commitment Period shall be four years from the date of confirmed participation.
“Developer” means any person, company, project owner, developer, seller, property owner, or authorised party involved in the development, ownership, sale, construction, delivery, or administration of a property opportunity listed on the Platform.
“Force Majeure” means any event or circumstance beyond the reasonable control of Yawzay Technologies Pvt. Ltd., Yawzay Properties Pvt. Ltd., the Developer, the SPV, or any relevant service provider, which prevents, hinders, or delays performance. This may include acts of God, natural disasters, epidemics, pandemics, war, armed conflict, terrorism, civil commotion, riots, strikes, labour disputes, government orders, regulatory restrictions, court orders, failure of utilities or infrastructure, cyber incidents, banking delays, payment-provider delays, authority delays, land-record delays, title-transfer delays, or any other event that could not reasonably have been prevented through ordinary diligence.
“KYC” means know-your-customer checks, identity verification, AML checks, source-of-funds checks, sanctions screening, tax information, and any other onboarding, compliance, or verification process required by Yawzay, a bank, payment provider, regulator, government authority, or applicable law.
“Net Distributable Amount” means the amount actually available for distribution to eligible Participants after receipt of funds and deduction of all applicable taxes, withholding amounts, duties, fees, platform charges, property management fees, development costs, maintenance costs, repair costs, legal costs, sale costs, government charges, transfer costs, banking charges, payment-provider charges, liabilities, approved expenses, and any other lawful deductions.
“Opportunity” means a property participation opportunity displayed on the Platform.
“Opportunity Page” means the property-specific page on the Platform describing the property, SPV structure, participation terms, documents, disclosures, payment instructions, expected timelines, fees, risks, voting rules, payout rules, and other relevant details.
“Participant” means a User whose participation in an Opportunity has been accepted, verified, approved, and recorded on the Platform. A Participant may hold Participation Rights according to the approved structure and property-specific documents.
“Participation Percentage” means the Participant’s proportionate entitlement in relation to a specific Opportunity, calculated according to the amount, unit, share, allocation, or percentage recorded on the Platform and in the applicable property-specific documents.
“Participation Rights” means the documented, non-possessory, property-linked rights held by a Participant through the approved structure of a property opportunity listed on Yawzay. Participation Rights may entitle the Participant to receive proportionate approved distributions, rental distributions if applicable, cashback if applicable, refund amounts if applicable, or Net Distributable Amounts from sale if applicable, subject to these Terms, property-specific documents, deductions, verification, and applicable law.
Participation Rights do not automatically give the Participant direct individual registered title, physical possession, occupation, tenancy, management control, partition rights, or the right to independently sell, mortgage, lease, possess, control, or manage the property.
“Platform” means Yawzay.com, including its website, web application, user dashboard, admin dashboard, wallet ledger, payment flow, notification system, support system, document system, and any related digital service operated under the Yawzay brand.
“SPV” or “Special Purpose Vehicle” means a property-specific company, project company, nominee company, holding entity, or other lawful structure used to acquire, hold, register, administer, manage, rent, or sell a property connected with the Platform.
“Unit” or “Property” means a residential apartment, office, commercial shop, property portion, developed property, under-development property, land-linked property, or any other real-estate asset listed or offered through the Platform.
“User” means any person who creates an Account, uses the Platform, submits KYC, submits payment, uploads payment proof, views an Opportunity, participates in an Opportunity, or otherwise interacts with Yawzay.
“Wallet” means the Platform ledger shown in the User’s Account for tracking deposits, pending amounts, verified payments, allocations, refunds, approved distributions, withdrawals, failed transactions, reversed transactions, and other Platform-recorded balances. The Wallet is a Platform record and is not a bank account.
“Yawzay Technologies Pvt. Ltd.” means the legal entity operating Yawzay.com as the digital platform operator, user onboarding facilitator, payment collection facilitator, transaction-recording system, wallet-ledger operator, communication channel, and distribution facilitator.
“Yawzay Properties Pvt. Ltd.” means the property-side company that may manage, administer, coordinate, operate, rent, maintain, market, sell, or otherwise deal with properties, Units, SPVs, Developers, sellers, buyers, tenants, service providers, and property-related affairs connected with Opportunities listed on the Platform.
2. Interpretation
Unless the context otherwise requires:
Words importing the singular shall include the plural and vice versa.
Words importing any gender shall include all genders.
References to a person shall include an individual, company, partnership, SPV, association, or other legal entity.
References to law shall include any amendment, re-enactment, replacement, rule, regulation, notification, order, or subordinate legislation.
Headings are for convenience only and shall not affect interpretation.
Capitalised terms not defined in these Terms shall have the meanings assigned in the Application Form, Opportunity Page, approved disclosures, or property-specific documents.
3. Nature of Yawzay’s Platform
Yawzay is a digital platform for SPV-backed property participation, documented ownership structures, visible milestones, clear disclosures, and transparent participation records.
Yawzay is built for people who may not be acquiring an entire property but still want to participate in real estate through documented legal structures. Each Opportunity may be organised through a registered SPV or similar legal vehicle, with Participant rights defined by the approved terms, disclosures, legal documents, Platform records, and applicable law.
Yawzay does not guarantee any financial outcome.
Unless expressly stated in separate signed documents, Yawzay is not a fund, broker-dealer, securities broker, investment adviser, portfolio manager, REIT manager, escrow company, bank, financial institution, insurer, guarantor, legal adviser, or tax adviser.
4. Relationship Between Yawzay Entities
The User acknowledges and agrees that Yawzay Technologies Pvt. Ltd. and Yawzay Properties Pvt. Ltd. may be related, affiliated, commonly owned, commonly controlled, or commercially connected entities.
Yawzay Technologies Pvt. Ltd. may operate the Platform and receive User funds into its designated company bank account for collection, verification, transaction recording, onward transfer, and later distribution purposes.
Yawzay Properties Pvt. Ltd. may manage, administer, coordinate, rent, maintain, market, and sell properties through the relevant SPV, Developer, property manager, service provider, or authorised structure.
The User understands and agrees that funds may move between Yawzay Technologies Pvt. Ltd., Yawzay Properties Pvt. Ltd., the applicable SPV, the Developer, the seller, the project account, banks, tenants, buyers, service providers, and other authorised parties for the purposes disclosed in these Terms and the property-specific documents.
5. SPV and Property Registration Structure
The User acknowledges and agrees that the relevant Property may be acquired, held, registered, controlled, developed, rented, managed, or sold through an SPV or authorised property-holding entity.
The registered legal title of the Property may be held by the applicable SPV or authorised property-holding entity, and not directly in the individual name of each Participant.
Participation Rights collectively represent the documented economic or ownership-linked rights connected with the relevant Opportunity, Property, SPV, or similar legal structure. Participants shall have only the rights expressly recorded on the Platform and in the approved terms, disclosures, and legal documents.
Unless the property-specific legal documents expressly provide otherwise, a Participant shall not be treated as a direct individual registered title holder of the Property and shall not have the right to demand individual mutation, registry, partition, physical division, possession, occupation, tenancy, or direct title transfer.
6. Eligibility and Account Requirements
To use the Platform or participate in an Opportunity, the User must:
Be legally capable of entering into a binding contract.
Provide true, accurate, complete, and up-to-date information.
Complete all KYC, AML, payment, identity, source-of-funds, and verification requirements requested by Yawzay.
Use only lawful funds and lawful payment channels.
Not be sanctioned, blacklisted, restricted, prohibited, or legally disqualified from using the Platform.
Keep Account login details secure and immediately notify Yawzay of any unauthorised access.
Yawzay may reject, suspend, restrict, or terminate any Account, Application Form, payment, participation request, withdrawal, refund, or transaction where verification is incomplete, suspicious activity is detected, legal risk exists, documents are inconsistent, payment proof is not verified, or the User breaches these Terms.
7. Participation Rights
The Participant acknowledges and agrees that Participation Rights are documented, non-possessory, property-linked rights.
Participation Rights may entitle the Participant to receive their proportionate approved economic benefit from the relevant Opportunity, if and when such amount becomes distributable according to the approved structure and property-specific documents.
Participation Rights do not grant the Participant:
Physical possession of the Property.
The right to live in, occupy, use, enter, lease, or control the Property.
The right to demand individual title transfer, registry, mutation, partition, or physical division.
The right to independently sell, mortgage, pledge, encumber, lease, or transfer the Property.
The right to interfere with property management, rental arrangements, maintenance, development, sale negotiations, or SPV administration.
The right to act as landlord, developer, seller, broker, agent, manager, or representative of the Property.
The Participant’s rights are limited to the rights expressly confirmed on the Platform and in the property-specific documents.
8. Funds Flow and Payment Structure
The User understands and agrees to the following funds-flow structure:
The User may send purchase funds, deposits, wallet top-ups, or other approved payments to the designated bank account of Yawzay Technologies Pvt. Ltd.
Yawzay Technologies Pvt. Ltd. may verify the payment, match the payment proof, record the transaction in the User’s Wallet, and approve or reject the transaction through the Platform.
After verification and approval, Yawzay Technologies Pvt. Ltd. may transfer the relevant funds to Yawzay Properties Pvt. Ltd., the applicable SPV, Developer, seller, project account, bank account, or other authorised recipient.
Yawzay Properties Pvt. Ltd., the applicable SPV, Developer, seller, or authorised party may use such funds for property acquisition, booking, registration, development, documentation, taxes, duties, management, maintenance, operational costs, or other property-related lawful purposes.
If the Property produces rent, sale proceeds, cashback, refund amounts, or other distributable amounts, those amounts may first be received by Yawzay Properties Pvt. Ltd., the SPV, Developer, buyer, tenant, bank, or other authorised party.
Approved distributable amounts may then be transferred to Yawzay Technologies Pvt. Ltd. for Platform-based allocation and distribution to eligible Participants.
Yawzay Technologies Pvt. Ltd. may distribute the approved amount to eligible Participants through the Platform, subject to KYC, bank verification, compliance checks, withdrawal approval, taxes, fees, deductions, and reconciliation.
No distribution shall be payable until the relevant amount has actually been received, verified, reconciled, approved, and marked as distributable.
The User agrees that Platform balances, Wallet entries, projected figures, expected sale values, expected rental income, or dashboard figures may be pending, estimated, illustrative, or subject to reconciliation unless expressly marked as approved and available for withdrawal.
9. Payments, Wallet, and Payment Proof
All payments must be made only through payment methods, bank accounts, references, and instructions displayed by Yawzay or authorised by Yawzay in writing.
The User must ensure that:
Payment is made from an account legally owned or controlled by the User, unless Yawzay approves otherwise.
The correct amount, reference number, transaction ID, and payment method are used.
Payment proof is uploaded clearly and accurately where required.
Payment proof matches the bank transfer, deposit slip, receipt, or other official payment evidence.
No fake, edited, duplicated, reversed, chargeback-prone, or fraudulent proof is uploaded.
A payment shall remain pending until verified and approved by Yawzay. Yawzay may request additional evidence, bank confirmation, source-of-funds details, identity information, or other verification before confirming any transaction.
The Wallet is a Platform ledger and not a bank account. Wallet balances are subject to verification, reconciliation, correction, deduction, and adjustment where an error, duplicate entry, failed payment, reversal, refund, admin correction, or suspicious transaction is identified.
10. Acceptance of Participation
A User’s participation in an Opportunity shall not be considered final merely because the User has submitted a request, clicked a button, transferred funds, or uploaded payment proof.
Participation shall become effective only after:
The User has completed required KYC and eligibility checks.
The payment has been received or verified.
The payment proof, if required, has been reviewed and approved.
Yawzay has approved the participation request.
The Platform has recorded the confirmed Participation Rights.
Yawzay may reject, reverse, cancel, or correct any participation request where:
Payment is not received or cannot be verified.
Payment proof is false, unclear, duplicated, edited, mismatched, or incomplete.
The User fails KYC, AML, or compliance checks.
The Opportunity is fully subscribed, withdrawn, cancelled, suspended, or unavailable.
The transaction appears suspicious, unlawful, mistaken, duplicated, or technically incorrect.
Acceptance would breach applicable law, Platform policy, or property-specific terms.
11. Commitment Period and Transfer Restrictions
Unless the Opportunity Page or property-specific documents state otherwise, Participation Rights shall remain fixed and non-transferable for a Commitment Period of four years from the date of confirmed participation.
During the Commitment Period, the Participant may not sell, assign, transfer, pledge, mortgage, gift, nominate, dispose of, withdraw from, or otherwise deal with the Participation Rights except where:
The Platform expressly allows an early-exit mechanism.
Yawzay approves a transfer due to death, succession, legal order, or exceptional circumstances.
Applicable law requires transfer.
The property-specific documents provide a different mechanism.
Even after the Commitment Period, transfers may remain subject to Platform approval, KYC, fees, legal requirements, buyer availability, transfer restrictions, and property-specific rules.
12. Rental Income, Cashback, and Other Distributions
Where a Property is rented, leased, licensed, or otherwise income-generating, any rental or usage income shall first be received and processed by the relevant authorised party, which may include Yawzay Properties Pvt. Ltd., the SPV, property manager, tenant-facing agent, bank, or service provider.
Rental income, cashback, or any other distribution shall be payable only if expressly offered in the applicable Opportunity Page or property-specific documents.
Before distribution, Yawzay or the relevant authorised party may deduct applicable amounts, including:
Taxes and withholding amounts.
Government charges.
Property management fees.
Platform fees.
Maintenance costs.
Repair costs.
Service charges.
Insurance, security, utility, or society charges where applicable.
Legal, accounting, banking, or payment-provider charges.
Any other property-specific approved expenses.
No rental income, cashback, usage income, capital gain, sale price, payout amount, or payout date is guaranteed unless expressly and lawfully confirmed in binding property-specific documents.
13. Voting Window and Sale Approval
Upon expiry of the Commitment Period, a sale voting window may open for the relevant Property or Opportunity, unless the Opportunity Page or property-specific documents provide a different process.
Unless stated otherwise, the Voting Window shall remain open for two weeks.
During the Voting Window:
Voting shall be conducted through the Platform or another method approved by Yawzay.
Voting power shall be based on each Participant’s confirmed Participation Percentage, unless the property-specific documents state otherwise.
Participants may vote in favour of sale, against sale, or abstain.
Votes must be cast within the Voting Window. Late votes may be rejected.
Yawzay’s Platform records shall be treated as the official voting record, unless proven incorrect.
For the sale of the Property to be approved, at least 51% of the eligible Participation Percentage must participate in the Voting Window, unless the property-specific documents state a different quorum.
If quorum is achieved, the sale shall be approved if more than 50% of the votes cast are in favour of sale, unless the property-specific documents state a higher threshold.
Once sale is approved, the result shall be binding on all Participants, including those who voted against sale or did not vote.
If the Property is not approved for sale or is not sold following a Voting Window, the next Voting Window may open every six months thereafter, unless the property-specific documents state otherwise.
14. Sale of the Property
Upon approval of sale, Yawzay Technologies Pvt. Ltd., Yawzay Properties Pvt. Ltd., the relevant SPV, Developer, property manager, or authorised representative may market, negotiate, finalise, document, and execute the sale of the Property in accordance with these Terms and the property-specific documents.
The Participant acknowledges and agrees that:
No fixed sale date is guaranteed.
No fixed sale price is guaranteed.
No fixed buyer availability is guaranteed.
Market conditions may delay or prevent sale.
The final sale price may be higher or lower than projections.
Sale completion may depend on buyer due diligence, bank processing, documentation, government approvals, transfer formalities, tax clearance, title verification, and other third-party actions.
Applicable deductions shall be made before distribution of the Net Distributable Amount.
Distribution shall occur only after sale proceeds are actually received, reconciled, approved, and marked as distributable.
Yawzay and the relevant authorised parties shall use reasonable efforts to complete an approved sale, but no specific completion timeframe, buyer, price, return, profit, or liquidity event is guaranteed.
15. Net Distributable Amount and Deductions
Upon receipt of rent, cashback, refund, sale proceeds, or other distributable amounts, Yawzay or the relevant authorised party may deduct all applicable amounts before distribution.
Deductions may include:
Taxes, duties, levies, withholding amounts, and government charges.
Platform fees.
Property management fees.
Development costs.
Maintenance and repair costs.
Legal, valuation, audit, documentation, and accounting costs.
Brokerage, marketing, sale, and transfer costs.
Bank charges and payment-provider fees.
Liabilities, penalties, claims, or settlement amounts connected with the Property.
Any other approved expense, deduction, or cost stated in the Opportunity Page or property-specific documents.
Eligible Participants shall receive their proportionate share of the Net Distributable Amount according to their confirmed Participation Percentage.
16. Authority to Manage, Transfer, Rent, and Sell
The Participant authorises Yawzay Technologies Pvt. Ltd., Yawzay Properties Pvt. Ltd., the relevant SPV, Developer, property manager, and their authorised representatives to take lawful actions reasonably necessary to acquire, register, manage, maintain, rent, administer, market, sell, transfer, document, protect, and distribute proceeds from the relevant Property.
This authority includes the authority to:
Transfer verified User funds from Yawzay Technologies Pvt. Ltd. to Yawzay Properties Pvt. Ltd., the SPV, Developer, seller, project account, or other authorised recipient.
Register the Property in the name of the relevant SPV or authorised property-holding entity.
Manage and administer the Property through Yawzay Properties Pvt. Ltd. or appointed service providers.
Rent, lease, license, maintain, repair, insure, secure, or operate the Property where applicable.
Receive rent, sale proceeds, refunds, cashback, or other property-related receipts.
Deduct taxes, fees, costs, liabilities, and expenses.
Transfer approved distributable amounts to Yawzay Technologies Pvt. Ltd. for Platform-based distribution.
Conduct sale voting, sale coordination, buyer negotiations, sale documentation, transfer formalities, and distribution of the Net Distributable Amount.
Take lawful action necessary to protect the Property, SPV, Platform records, Participants’ rights, and transaction integrity.
This authority shall be binding on the Participant, their heirs, successors, nominees, and permitted assigns.
17. No Guarantee and Risk Acknowledgement
The User understands that SPV-backed property participation involves risk.
The User acknowledges that:
Property values may rise or fall.
Rental income may be lower than expected or may not be received.
Sale may be delayed or may not occur at the expected price.
Development timelines may change.
Legal, regulatory, taxation, title, documentation, or authority delays may occur.
Liquidity may be limited.
Platform access may be interrupted.
Payment verification and bank reconciliation may take time.
Projected figures are illustrative only.
Past performance, market comparisons, or example returns do not guarantee future results.
No return, profit, sale price, capital gain, rental income, cashback, payout date, or exit date is guaranteed unless expressly and lawfully stated in binding property-specific documents.
Any financial illustrations, projected returns, indicative figures, valuation estimates, capital gain examples, rental examples, cashback examples, or sale estimates displayed on the Platform are provided for informational purposes only and do not constitute a representation, warranty, guarantee, investment advice, legal advice, tax advice, or financial advice.
The User should make their own decision after reviewing all documents and, where necessary, obtaining independent legal, tax, financial, and property advice.
18. User Representations and Undertakings
The User represents and undertakes that:
All information provided to Yawzay is true, accurate, complete, and not misleading.
No material fact has been omitted or concealed.
All funds used on the Platform are lawful and belong to the User or are lawfully controlled by the User.
The User shall not use the Platform for fraud, money laundering, terrorism financing, sanctions evasion, tax evasion, identity misuse, payment manipulation, or any unlawful purpose.
The User shall not upload false payment proof, fake documents, edited receipts, stolen identity documents, or misleading information.
The User shall promptly update Yawzay if any submitted information changes.
The User shall comply with Platform instructions, property-specific documents, applicable laws, and these Terms.
Yawzay may suspend, restrict, investigate, reverse, or report suspicious activity where required or permitted by law.
19. Platform Records and Corrections
The Platform may generate digital receipts, transaction histories, Wallet statements, participation records, payout records, voting records, documents, and notifications.
The User acknowledges that:
Platform records are maintained for operational and administrative purposes.
Records may be updated after bank reconciliation, admin review, technical correction, refund, reversal, or audit.
A displayed balance or participation record may remain pending until verified.
Yawzay may correct obvious errors, duplicate entries, misapplied payments, failed payments, wrong references, or technical mistakes.
The User must notify Yawzay promptly if they believe a record is incorrect.
Yawzay may preserve transaction logs, audit trails, payment proof, KYC documents, IP records, device information, admin actions, voting records, and communication records for compliance, security, dispute resolution, and audit purposes.
20. Refunds, Cancellations, and Failed Transactions
Refunds, cancellations, reversals, or failed participation requests shall be handled according to the applicable property-specific documents, refund policy, payment-provider rules, and Platform records.
Yawzay may process a refund where:
A payment is verified but participation is rejected.
The Opportunity becomes unavailable before confirmation.
The User fails KYC or compliance checks.
A duplicate payment is identified.
Yawzay, the SPV, Developer, or authorised party cancels the Opportunity before final confirmation.
Applicable law or a binding order requires refund.
Refunds may be subject to deduction of bank charges, payment-provider charges, taxes, administrative charges, or other applicable costs. Refunds may be delayed by bank processing, compliance checks, source verification, disputes, or incorrect payment details.
No refund shall be guaranteed after confirmed participation except where expressly allowed by the property-specific documents, Platform policy, or applicable law.
21. Withdrawals and Payouts
The User may request withdrawal of available Wallet balance or approved payout amounts through the Platform.
Yawzay may approve, delay, reject, or hold a withdrawal where:
KYC is incomplete.
Bank account details are incorrect or unverified.
Payment source does not match the User’s verified profile.
A dispute, investigation, refund, chargeback, reversal, or compliance review is pending.
The amount is locked, pending, allocated, or unavailable.
Applicable law, bank policy, payment-provider policy, or a legal order restricts payout.
Payouts shall be made only to verified accounts approved by Yawzay, unless Yawzay permits another method in writing.
22. Taxes, Fees, and Charges
The User shall be responsible for all taxes, duties, levies, withholding taxes, government charges, bank charges, payment-provider fees, legal fees, transfer fees, platform fees, service fees, and other costs applicable to their payment, participation, holding, payout, withdrawal, transfer, refund, or sale proceeds.
Yawzay Technologies Pvt. Ltd., Yawzay Properties Pvt. Ltd., the SPV, Developer, bank, payment provider, or authorised service provider may deduct, withhold, recover, or adjust applicable amounts before confirming participation, refunding funds, processing withdrawals, or distributing amounts.
The User is responsible for obtaining independent tax advice. Yawzay does not provide tax advice.
23. Data Protection and Privacy
By using the Platform, the User consents to the collection, processing, storage, verification, and sharing of personal data, KYC documents, payment records, transaction history, device data, and communication records for the purposes of:
Account creation and authentication.
KYC, AML, fraud prevention, and compliance checks.
Payment verification and payout processing.
Participation recording and document maintenance.
Customer support and dispute resolution.
Legal, tax, audit, regulatory, and reporting obligations.
Platform security, analytics, and service improvement.
Yawzay may share relevant data with Yawzay Technologies Pvt. Ltd., Yawzay Properties Pvt. Ltd., SPVs, Developers, banks, payment providers, KYC providers, legal advisers, auditors, regulators, law-enforcement agencies, courts, and service providers where necessary or legally required.
24. Suspension, Restriction, and Termination
Yawzay may suspend, restrict, or terminate a User’s Account or access to the Platform if:
The User breaches these Terms.
KYC is incomplete, expired, rejected, or suspicious.
Fraud, misuse, suspicious activity, or unlawful conduct is suspected.
The User uploads false payment proof or misleading documents.
A legal, regulatory, bank, payment-provider, or court restriction applies.
The User abuses staff, manipulates the Platform, attempts unauthorised access, or interferes with Platform operations.
Continuing service would create legal, financial, reputational, or security risk.
Suspension or termination shall not automatically cancel the User’s confirmed Participation Rights, but Yawzay may restrict transactions, withdrawals, transfers, voting, or access until the issue is resolved.
25. Assignment and Third-Party Service Providers
The User acknowledges and agrees that Yawzay Technologies Pvt. Ltd., Yawzay Properties Pvt. Ltd., the SPV, Developer, or authorised party may appoint, replace, transfer, outsource, or assign development, management, payment, verification, legal, valuation, marketing, sale, operational, technical, or administrative functions to third parties.
Such third parties may include banks, payment processors, KYC providers, lawyers, auditors, valuers, brokers, developers, property managers, technology vendors, customer-support providers, and government-facing agents.
Yawzay may assign or transfer its rights or obligations under these Terms to an affiliate, successor, buyer, restructuring entity, SPV, or operating company, provided such transfer does not materially reduce the User’s existing confirmed rights without lawful basis.
26. Disclaimers and Limitation of Liability
To the maximum extent permitted by law:
The Platform is provided on an “as is” and “as available” basis.
Yawzay does not guarantee uninterrupted access, error-free operation, or availability of any Opportunity.
Yawzay shall not be liable for market loss, loss of expected profit, property-value reduction, developer default, title issue, authority delay, buyer delay, tenant delay, bank delay, payment-provider failure, force majeure, regulatory change, tax impact, or third-party misconduct, unless caused by Yawzay’s proven fraud or wilful misconduct.
Yawzay’s liability, if any, shall be limited to the amount of Platform fees actually received by Yawzay from the affected User in relation to the specific disputed transaction, unless applicable law requires otherwise.
Yawzay shall not be liable for indirect, special, consequential, punitive, or loss-of-profit damages.
Nothing in these Terms shall exclude liability that cannot lawfully be excluded.
27. Indemnity
The User agrees to indemnify and hold harmless Yawzay Technologies Pvt. Ltd., Yawzay Properties Pvt. Ltd., their directors, officers, employees, agents, affiliates, service providers, SPVs, Developers, property managers, and authorised representatives from any claim, loss, damage, liability, cost, penalty, tax, charge, expense, or legal proceeding arising from:
The User’s breach of these Terms.
False, incomplete, or misleading information provided by the User.
Use of unlawful funds.
Fraudulent payment proof or documents.
Unauthorised use of the Account.
Violation of applicable law.
Misuse of the Platform.
Any claim by a third party arising from the User’s actions or omissions.
28. Force Majeure
Yawzay Technologies Pvt. Ltd., Yawzay Properties Pvt. Ltd., the SPV, Developer, property manager, and authorised service providers shall not be liable for delay, failure, suspension, non-performance, or interrupted performance caused by a Force Majeure event.
During a Force Majeure event, affected obligations shall be suspended for the duration of the event and for a reasonable recovery period thereafter.
29. Dispute Resolution
Any dispute arising out of or in connection with these Terms, the Platform, a transaction, Participation Rights, an Opportunity, or a Property shall first be attempted to be resolved amicably between the parties within thirty days of written notice.
If the dispute is not resolved within that period, the matter may be referred to mediation through the Platform or another mutually agreed mediator.
If mediation fails, the dispute shall be resolved in accordance with the governing law and jurisdiction stated in the applicable property-specific documents. Unless otherwise stated, these Terms shall be governed by the laws of Pakistan and the courts of Pakistan shall have jurisdiction, subject to applicable law.
Yawzay may still take urgent action to protect Platform security, prevent fraud, preserve records, restrict suspicious transactions, comply with law, or respond to a legal order.
30. No Possessory or Injunctive Relief
The Participant acknowledges that their Participation Rights are documented, non-possessory, and primarily economic or ownership-linked according to the approved structure.
To the maximum extent permitted by law, the Participant shall not seek possession, occupation, partition, physical control, restraint on lawful sale, or injunctive/possessory relief against the Property where the dispute can be compensated through monetary relief.
This clause shall not prevent a party from seeking lawful remedies for fraud, wilful misconduct, or enforcement of confirmed monetary rights.
31. No Partnership, Trust, or Joint Venture
Nothing in these Terms shall be construed to create a partnership, employment relationship, agency, association, joint venture, trust, collective investment scheme, brokerage relationship, advisory relationship, or fiduciary relationship between the User and Yawzay, unless expressly created by a separate written document and permitted by law.
32. Amendments
Yawzay may update these Terms from time to time for legal, regulatory, operational, technical, security, product, or business reasons.
Updated Terms may be posted on the Platform or notified to Users through email, dashboard notification, SMS, WhatsApp, or other communication channels.
Continued use of the Platform after updated Terms become effective shall constitute acceptance of the updated Terms. Material changes affecting confirmed Participation Rights shall not reduce already confirmed rights without lawful basis, property-specific authority, User consent where required, or applicable legal process.
33. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, in whole or in part, such provision shall be deemed severed to the extent of such invalidity, illegality, or unenforceability, and the remaining provisions shall continue in full force and effect.
34. Entire Agreement
These Terms, together with the Application Form, Opportunity Page, property-specific documents, payment instructions, privacy policy, refund policy, risk disclosures, and any signed or accepted transaction documents, constitute the entire agreement between the parties regarding the subject matter.

36. User Acceptance Statement
By clicking “I Agree,” submitting payment, uploading payment proof, participating in an Opportunity, holding Participation Rights, or continuing to use the Platform, the User confirms that:
They have read and understood these Terms.
They understand that Yawzay.com is operated by Yawzay Technologies Pvt. Ltd.
They understand that Yawzay Properties Pvt. Ltd. may manage properties, SPVs, rentals, sales, and property administration.
They understand that their funds may first be received by Yawzay Technologies Pvt. Ltd. and then transferred to Yawzay Properties Pvt. Ltd., the relevant SPV, Developer, seller, project account, or other authorised recipient.
They understand that the Property may be registered under an SPV or authorised property-holding entity, not directly in their individual name.
They understand that Participation Rights are documented, non-possessory rights and do not automatically provide possession, occupation, direct individual title, or control of the Property.
They understand that rent, cashback, sale proceeds, capital gain, sale timing, payout timing, and exit timing are not guaranteed.
They accept all deductions, risks, verification requirements, payout rules, voting rules, transfer restrictions, and legal limitations stated in these Terms and the property-specific documents.
